Another Business Friendly Initiative From The Secretary of State: Certificates of Existence, Certificates of Authorization Now Available Online

1/10/2011

Charleston, W.Va. – Business owners who need to obtain either a Certificate of Existence or Certificate of Authorization can now do so through the West Virginia Secretary of State’s Office website at www.wvsos.com

Providing this service online means a business owner can access this information at his or her convenience 24 hours a day, seven days a week – allowing them to focus on their product and not paperwork.

West Virginia is one of 16 states that offer this service online.

A Certificate of Existence is a certificate issued by the West Virginia Secretary of State for an organization formed in West Virginia that shows the date of its formation in West Virginia and that the organization is still active, has not been revoked, and has not applied for dissolution.

A Certificate of Authorization is a certificate issued by the West Virginia Secretary of State for an organization formed in a state other than West Virginia that shows the date of its qualification in West Virginia and that the organization is still active, has not been revoked, and has not applied for withdrawal.

Customers will also have the option to purchase an official Certificate of Existence or Certificate of Authorization for any entity that is active and current under the law. Each Certificate of Existence or Certificate of Authorization is $10 and customers must pay with a credit card.

“Giving business owners the option of taking care of more of their paperwork online is just another way we are trying to help business owners in the Secretary of State’s Office,” Secretary Tennant said. “This e-business initiative means business owners can focus more on their product and not paperwork. I also want to encourage business owners to file their annual reports online at www.business4wv.com.”

Customers will be able to view and print their certificates and receive confirmation of the transaction after paying the $10 fee. This online service also allows customers to provide their lending institution or other business entities the ability to authenticate the certification via our website using the validation number found on the certificate itself and carrying the full weight of the law, just as any other certificate provided by the Secretary of State.

Future enhancements will include also allowing for electronic payments to be made by check, more commonly referred to as “ACH,” or automated clearing house. This feature will be available in the spring of 2011.

Delegate Tom Campbell (D-Greenbrier) worked closely with the Business and Licensing Division of the Secretary of State’s Office on this project.

“This is an excellent example of West Virginia becoming more business friendly by enabling business owners to work with state government quickly and easily,” Campbell said. “I applaud the Secretary of State’s Office for listening to my concerns and implementing a solution quickly.”

To obtain a Certificate of Existence or Certificate of Authorization, go to the Secretary of State’s website at www.wvsos.com and follow the link that reads “Request for Certificate of Existence/Authorization.”
