 Annual Report Filing

The Secretary of State’s Office encourages business owners to take advantage of filing their company’s annual report through the State’s online portal “Business for WV” at www.business4wv.com, as this may become a required way of filing the reports in the near future. Step-by-Step instructions for filing the annual report online are provided here as a downloadable Adobe PDF document. You may print the instructions to have available at your convenience as you file online.


Anyone wanting to file a report online may access the “business4wv” website and complete the process at their convenience, 24 hours a day, 7 days a week. Online filing saves time and provides immediate and accurate integration of customers’ updates into the Secretary of State’s database. Filers will receive electronic confirmation when the Secretary of State’s Office approves the filing.

Most company types have an annual reporting requirement. Annual reports are important to keep the company record updated. Failure to file by the due date may result in monetary penalties as well as administrative dissolution or revocation, so this filing is very important. The requirements vary for different company types.

Corporations, Limited Partnerships, Voluntary Associations, and Business Trusts:

  • Report due from all active corporations, including nonprofits, limited partnerships, voluntary associations, and business trusts formed on or before December 31 of the previous year which have not applied for dissolution or withdrawal.
  • Due date is by midnight July 1st of each year.
  • Annual report notification is mailed or emailed by Secretary of State in January each year. Blank forms will not be available on the website, as the office is encouraging the use of online filing. Therefore, customers will need to either file online or contact the office by email at business@wvsos.com or by telephone at 1-877-826-2954 to request an annual report form be sent to them.
  • Report requires update of officers, members, partners, directors, addresses & agent for service of process, and other information the Secretary of State deems necessary and important.
  • $25 fee, if received by July 1 due date.
  • If received after July 1, the following fees apply:
    • Profit - $75 (includes $50 late fee)
    • Non-Profit - $50 (includes $25 late fee)
  • Administrative dissolution or revocation notice may be mailed for companies that fail to file.

 

Limited Liability Companies

  • Report due from all LLCs formed on or before December 31st preceding report and not terminated or withdrawn.
  • Due date is by midnight July 1st of each year.
  • Annual report notification is mailed or emailed by Secretary of State in January of each year.
    Blank forms will not be available on the website, as the office is encouraging the use of online filing. Therefore, customers will need to either file online or contact the office by email at business@wvsos.com or by telephone at 1-877-826-2954 to request an annual report form be sent to them.
  • Report requires update of managers or members authorized to sign filings, addresses & agent of process, and other information the Secretary of State deems necessary and important.
  • $25 fee, if received by July 1 due date.
  • If received after July 1, $75 fee applies (includes $50 late fee).
  • Administrative dissolution or revocation notice may be mailed for LLCs that fail to file.

 

Limited Liability Partnerships    

  • Domestic (West Virginia-formed) LLP's:
    • Annual Notice required to be filed annually for all active West Virginia LLP's any changes in the registration Statement.
    • Due date is by midnight July 1st of each year.  
    • Notice requests update of partners authorized to sign filings, addresses and agent for service of process.
    • $500 annual fee.
    • Administrative dissolution or revocation notice may be mailed for LLPs that fail to file.

  • Foreign (out-of-state) LLP's:
    • An LLP formed under the laws of another state or country will continue its authority to do business in West Virginia from the date the filing is accepted for two years, at which time it may re-register to continue its authority in the state.
    • No Annual Notice is required.
    • If the foreign LLP wishes to continue its authority in the state, at the time of its two year expiration date, the foreign LLP must file a re-registration.
    • $500 re-registration fee (every two years).

Insurance Companies

    CLICK HERE to download the blank Annual Attorney-In-Fact Filing form. 

  • Annual Attorney-In-Fact Filing due from all active insurance companies admitted on or before December 31 of the previous year which is reported as being currently registered through the West Virginia Offices of the Insurance Commissioner. NOTE: The only types of insurance companies that file the Attorney-In-Fact Filing are the following lines of insurance:
    • Property and casualty
    • Life
    • Fire
    • HMO's
  • All other active insurance companies are required to file the Annual Report for their respective business structure above (Corporation, LLC, etc.)
  • Due date is by midnight July 1st each year.
  • Report requests update of addresses and agent for service of process.
  • $25 filing fee.
